Remindly — Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Remindly (the “App”), provided by Penguin (“Penguin”, “we”, “us”, or “our”). By using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1) License & Use

Subject to these Terms, Penguin grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, lawful purposes.
You are responsible for all activity that occurs under your account and for the accuracy and timing of reminders you create.
You agree not to misuse the App, interfere with its operation, or attempt to access it using a method other than the interface provided.

2) Features; Free & Paid Tiers

The App offers limited free usage (e.g., a small number of reminders).
Paid features include, without limitation increased reminder limits.
We may add, modify, or remove features at any time with or without notice.

3) Subscriptions, Trials, Billing & Cancellation

Subscriptions are managed and billed through the Apple App Store and renew automatically unless canceled at least 24 hours before the end of the current period.
A limited free trial may be available. If offered, charges begin at the end of the trial unless you cancel in time via your App Store account settings.
We do not process payments directly, and we do not have access to your payment card details.
Prices and subscription offerings may change.
Refunds, if any, are handled in accordance with Apple’s policies.

4) iCloud Sync

The Service automatically uses Apple’s iCloud and CloudKit to store and sync your reminders with your iCloud account. This functionality cannot be disabled.
You are solely responsible for maintaining the security and confidentiality of your iCloud login credentials.

5) Ownership & Intellectual Property

The App, including its software, design, and content (excluding your reminders), is owned by Penguin and its licensors and is protected by intellectual property laws.
Except as permitted by applicable law, you may not reverse engineer, decompile, or derive source code from the App.

6) Prohibited Conduct

Do not use the App to violate any law or third-party rights.
Do not attempt to gain unauthorized access to systems or data.
Do not interfere with or disrupt the App’s functionality or security.

7) Termination

We may suspend or terminate your access to the App at any time if we reasonably believe you have violated these Terms, engaged in unlawful activity, or pose a risk to the App or other users.
You may stop using the App at any time. Termination does not entitle you to a refund unless provided by Apple’s policies.

8) Disclaimers

The App is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Penguin disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that notifications will always be timely or error-free, or that the App will be uninterrupted or free of harmful components.

9) Limitation of Liability

To the fullest extent permitted by law, Penguin and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, business, profits, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the App, even if we have been advised of the possibility of such damages. Our aggregate liability under these Terms shall not exceed the amounts you paid to Penguin for the App during the twelve (12) months prior to the event giving rise to liability.

10) Indemnification

You agree to defend, indemnify, and hold harmless Penguin and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the App.

11) Changes to the App or Terms

We may modify or discontinue the App, or update these Terms, at any time. Your continued use after the effective date of changes constitutes acceptance of the updated Terms.

12) Governing Law & Dispute Resolution

These Terms shall be governed by the laws of your applicable jurisdiction, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Pakistan, unless otherwise required by consumer protection laws.
